Terms & Conditions of Sale

Freight - F.O.B. Our dock, Franklin, WI.

Prices - Prices are per roll (unless otherwise indicated) are subject to change without notice, and will be billed at the prevailing price at time of shipment. Pricing discrepancies will be confirmed prior to shipment. Prices are net and do not include any applicable federal, state, or local taxes, which will be either billed to or assumed by purchaser. All quantity prices apply to single shipments only. CFS reserves the right to adjust orders to the nearest full case. Minimum order billing: $50.00. All prices are net.

Warranty - CFS warrants its products to be free from defects in material and workmanship. Should any failure to conform to this warranty appear after the initial date of shipment, CFS shall issue a credit in favor of purchaser in an amount not to exceed the purchase price of the products. Products are sold with the understanding that the buyer has independently determined the suitability of the product for his purposes and he is reminded that a few materials are sensitive to adhesive tapes and discretion should be used in their application. Bulletins, specifications, product and testing reports, and other descriptive and advertising material and information are based on research testing and are believed to be reliable, but constitute no part of this warranty, which is exclusive and strictly limited to the foregoing. This warranty is exclusive and is in lieu on any implied warranty of merchantability, fitness for a particular purpose, or other warranty of quality, whether express or implied, except the warranty of title and against patent infringement. No waiver, alteration, additions, or modifications of the foregoing conditions shall be valid unless made in writing and manually signed by an officer of CFS. No agent or representative is authorized to give any guarantee or make any statement contrary to or inconsistent with this warranty.

Assorting Privileges - All items are assortable to determine case quantity for pricing, except as noted elsewhere in this schedule. Quantity ordered under this condition must be single shipment, to one destination, to qualify for quantity pricing.

Payment Terms - Net 30 days subject to credit approval. Past due accounts subject to service charge of 11/2% per month (18% per annum) on unpaid balances until paid.

Deliveries - Shipments will be made as nearly as possible in accordance with dates specified by seller's acceptance of order, subject to any or all causes beyond seller's control.

Lost and Damaged Shipments/Lost Goods - DO NOT SIGN Delivery Receipt until you can count all pieces. Sign only for what you have received. If signed short, contact CFS immediately and CFS will proceed to file a loss claim. If replacement is needed, a new Purchase Order Number will be required.

Returns & Claims - All merchandise delivered is non-returnable, except as authorized in writing by CFS in Wisconsin. Unauthorized returns will be refused. All returns will be subject to a re-stocking fee. All special order items or sizes slit to order are not returnable. Returned Goods Authorization Number (RGA) must be clearly marked on all returned items. RGA's expire 30 days after date of issuance. Once RGA expires, CFS will not accept returns.

Damaged Goods - UPON DELIVERY, inspect all goods CAREFULLY for damage. If goods are damaged, refuse on delivery, and contact CFS immediately for further instructions. If replacement is needed, a new Purchase Order Number will be required.

Non-Standard & Special Items - CFS reserves the right to increase or decrease order by 10% over or under the specified quantity.

Air Shipments - Shipments requested via Air Freight must ship FREIGHT COLLECT. This includes shipments via UPS/Red Label (next day air) and UPS/Blue Label (second day air).

Concealed Loss & Damage - Report concealed loss or damage to carrier within 48 hours and request inspection by the carrier. This is absolutely necessary: otherwise, the carrier will not be liable for payment or settlement of concealed damage freight claims. CFS will advise you on the best procedure to follow in filing a freight claim. However, CFS cannot assume any responsibility with respect to concealed lost & damaged freight claims.

Cancellation - Contact CFS to obtain a cancellation number. Cancellations will not be accepted without a cancellation fee if a product has been converted or slit to order. Cancellations will not be accepted on non-standard items and blanket purchase orders.

Limitation of Liability - In no event shall CFS be liable for any incidental or consequential damages, including but not limited to loss of profit, loss of use or production, or loss of capital. The remedies of purchaser set forth herein are exclusive and the total liability of CFS with respect to any contract or anything done in connection therewith, such as the performance or breach hereof, or from the manufacture, sale, delivery, resale, installation, or use of any products, whether arising out of contract, negligence, strict tort, or under any warranty, or otherwise, shall not exceed the purchase price of the products upon which liability is based.
