Purchase Order (Net 30): Subject to credit approval. Customers must place an initial order with credit card before applying for an account. Past due accounts subject to service charge of 11/2% per month (18% per annum) on unpaid balances until paid. Terms must be re-established after 12 months of non-use.

INTERNATIONAL ORDERSCFS sells and ships internationally. Payment will be required prior to shipment via bank wire, all bank fees are the responsibility of the purchaser. Shipping will be via customers’ FedEx, UPS or DHL account. Alternatively, customer may arrange pick-up by a freight forwarder of their choice.

PRICINGCurrent pricing may be found online at www.customfabricate.com or by contacting a CFS Representative. Minimum Order: $50 USD. Pricing is subject to change without notification. Pricing discrepancies will be confirmed prior to shipment. Prices are net and do not include any applicable federal, state, or local taxes, which will be either billed to or assumed by purchaser. All quantity prices apply to single shipments only. CFS reserves the right to adjust orders to the nearest full case.

SALES TAXWe will collect applicable sales tax on Products shipped to the states for which we determine we have a duty to collect sales tax. If your company is tax exempt, the certificate must be on file prior to order shipment to qualify for exempt status.

SHIPPING AND HANDLINGAll orders are F.O.B., any CFS location. CFS has three (3) shipping locations which may result in split shipments from multiple locations, each with separate freight charges. Shipments will be made as nearly as possible in accordance with dates specified by seller’s acceptance of order, subject to any or all causes beyond seller’s control.

SHIPPING CHARGESPrepaid shipping and handling charges are calculated by or based on the weight and volume of the products and the shipping destination. Orders placed before 3:00 PM Central Time on a business day can typically be shipped the same day. Please call to verify stock and shipping schedule. For prepaid shipping charges, CFS reserves the right to select UPS or FedEx as the carrier. Note that it is our policy to add shipping insurance to ALL small parcel orders - whether collect or PPA. If you wish to decline insurance and have us use $0 declared value, we must have a signed waiver form on file. CFS will not reimburse for insurance charges that do not have a waiver on file.

FREIGHT ACCOUNTSUpon request, CFS will ship on the customers’ freight account. A valid account number must be provided at the time of order. If we are unable to use the account information provided, CFS reserves the right to prepay and add the shipping amount to customer invoice. If for any reason the carrier places shipping charges on a CFS account, customer remains liable for all fees. If the carrier charges additional fees due to an incorrect address, incorrect or invalid account number or an undeliverable package, customer will be responsible for those fees. This includes address correction fees, undeliverable fees, shipping charges for returning an undeliverable package and shipping charges for re-sending the package to the correct address. All loss/damage for shipments via 3rd party or collect accounts are the sole responsibility of the customer.

LOST AND DAMAGED SHIPMENTSUPON DELIVERY, inspect all goods CAREFULLY for damage. If goods are damaged, refuse on delivery, and contact CFS immediately for further instructions. DO NOT SIGN Delivery Receipt until you can count all pieces. Sign only for what you have received. If signed short, contact CFS immediately. Any replacements will require issuance of a new Purchase Order. For packages lost or damaged that were shipped on a collect or 3rd party freight account, the customer will be responsible for proceeding with the claims process. If shipped PPA on a CFS account, CFS will initiate the claim process, provided insurance coverage was not declined.

CONCEALED LOSS & DAMAGEReport concealed loss or damage to carrier within 48 hours and request inspection by the carrier. This is absolutely necessary: otherwise, the carrier will not be liable for payment or settlement of concealed damage freight claims. CFS will advise you on the best procedure to follow in filing a freight claim. However, CFS cannot assume any responsibility with respect to concealed lost & damaged freight claims.

ASSORTING PRIVILEGESAll items are assortable to determine case quantity for pricing, except as noted elsewhere in this schedule. Quantity ordered under this condition must be single shipment, to one destination, to qualify for quantity pricing.

NON-STANDARD & SPECIAL ITEMSCFS reserves the right to increase or decrease order by 10% over or under the specified quantity. CFS will not be responsible for any special requirements not stated on the purchase order or disclosed by customer.

RETURNSReturns are only accepted on a case-by-case basis. All special order items are non-returnable, without exception. Special order items include, but are not limited to non-stock tapes, custom molded products, custom die cuts and any products produced under clean room environments. Please contact a CFS representative to inquire whether a certain item can be returned. Unauthorized returns will be refused. Any approved returns will be subject to a re-stocking fee. Returned Goods Authorization Number (RGA) must be clearly marked on all returned items. RGA must be requested within 7 days of product shipment and shall expire 30 days after date of issuance of RGA.

CANCELLATIONCancellations will not be accepted on non-standard, special order items and blanket purchase orders. If a PO has already been accepted by CFS, cancellation is not guaranteed. Cancellations will not be accepted without a cancellation fee if a product has been converted or slit to order.

ERRORS
Typographical and clerical errors are subject to corrections.

PRODUCT USEMany factors beyond CFS’s control and uniquely within the users’ knowledge and control can affect the use and performance of our products in a particular application. Therefore, the user is solely responsible for evaluating any product to determine the fitness for a specific purpose and suitability for the method of application.

LIMITED WARRANTY

All Products provided by Seller are warranted to be free from defects in material and workmanship at the time of delivery. This limited warranty extends only to Buyer, and Seller’s obligation under this limited warranty is strictly limited to repairing and replacing - at Seller’s option - any Products found to Seller’s satisfaction to be defective. A written claim must be received from Buyer within 30 days after delivery thereof, and said Products are, upon request, returned to Seller’s facility from which it was shipped, transportation prepaid. Neither the receipt of information from Buyer nor delivery by Seller of the Products shall in any manner imply a warranty on the part of Seller. Buyer expressly agrees that Seller shall not be liable under any warranty nor for any defects or nonconformity in the Products, if Buyer’s order is illegible, is in error, or specifications, technical information or instructions set forth therein are faulty or improper.

Products are sold with the understanding that the buyer has independently determined the suitability of the product for their purposes and they are reminded that some materials are sensitive to adhesive tapes and discretion should be used in their application. Bulletins, specifications, product and testing reports, and other descriptive and advertising material and information are based on research testing and are believed to be reliable, but constitute no part of this warranty, which is exclusive and strictly limited to the foregoing. 

This limited warranty does not apply where any claimed defect arose as a result of Buyer’s misuse, neglect, alteration or accident with respect to the Products. THIS WARRANTY IS EXPRESSLY IN LIEU OF ANY OTHER WARRANTIES EXPRESS OR IMPLIED AND SELLER SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. No agent or representative is authorized to give any guarantee or make any statement contrary to or inconsistent with this warranty.

LIMITATION OF LIABILITYIn no event shall CFS be liable for any incidental or consequential damages, including but not limited to loss of profit, loss of use or production, or loss of capital. The remedies of purchaser set forth herein are exclusive and the total liability of CFS with respect to any contract or anything done in connection therewith, such as the performance or breach hereof, or from the manufacture, sale, delivery, resale, installation, or use of any products, whether arising out of contract, negligence, strict tort, or under any warranty, or otherwise, shall not exceed the purchase price of the products upon which liability is based.
